• Provide timely, pragmatic legal advice to internal stakeholders on corporate, commercial, and regulatory matters, managing legal risk appropriately.
• Liaise with and manage external counsel and other advisors as required to support transactions and projects.

Requirements:

• 5+ years’ post-qualification experience advising on complex M&A transactions, including legal due diligence, deal structuring, and drafting/negotiating SPAs, shareholder agreements, and ancillary documentation for corporate and institutional clients.
• Strong background in real estate transactions, with a track record of drafting, reviewing, and negotiating commercial leases, sale and purchase agreements, and related property contracts across a range of asset classes.
• Broad commercial contracts expertise, including preparing, reviewing, and negotiating services, supply, vendor, and confidentiality agreements, and providing pragmatic, business-focused advice on associated corporate and regulatory issues.
• Proven ability to partner with internal stakeholders and manage external counsel on cross-functional projects and transactions, balancing legal risk with commercial objectives within fast-paced in-house and/or private practice environments.
